Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "Client," or "User") and Left Coast AI, LLC ("we," "us," or "our") governing your access to and use of ConciergeVoice (the "Service"), including all associated voice, SMS, and dashboard features.
By accessing the Service, creating an account, or allowing your business phone number to be connected to ConciergeVoice, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Description of Service
ConciergeVoice is an AI-powered voice and messaging receptionist platform. The Service allows business clients to deploy an AI agent that answers inbound calls, captures leads, books appointments, and communicates with customers via SMS — all on behalf of the subscribing business.
The Service includes a web-based dashboard for reviewing calls, managing appointments, viewing leads, and configuring the AI agent.
3. SMS Messaging Terms
3.1 Program Description
As part of the Service, ConciergeVoice sends automated SMS messages to end-customers on behalf of Client businesses. These messages include, but are not limited to: appointment confirmations, appointment reminders, lead follow-up messages, and informational communications related to services offered by the Client.
3.2 Consent Requirement
Clients are solely responsible for obtaining prior express written consent from all recipients before any SMS message is sent via ConciergeVoice on their behalf. By using the SMS features of the Service, Clients represent and warrant that:
- All recipients have provided consent to receive automated SMS messages from the Client's business via the ConciergeVoice platform.
- Such consent was obtained in a manner compliant with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable state, federal, and carrier regulations.
- Consent records are maintained and can be produced upon request.
SMS consent is never a condition of purchasing any product or service offered by the Client.
3.3 Opt-Out and STOP / HELP Keywords
All SMS programs operated via ConciergeVoice honor industry-standard messaging keywords:
- STOP — Immediately unsubscribes the recipient. A single confirmation message is sent; no further messages are delivered to that number for that Client's program.
- UNSTOP / START — Re-subscribes the recipient to the messaging program.
- HELP — Returns program information and support contact details.
Message and data rates may apply. Message frequency varies per program.
3.4 Prohibited SMS Content
Clients may not use ConciergeVoice's SMS features to send:
- Unsolicited commercial messages (spam)
- Messages to recipients who have opted out (STOP)
- Phishing, fraudulent, or deceptive content
- Content that violates carrier acceptable use policies
- SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco) without appropriate age-gating and legal authorization
- Content violating any applicable law or regulation
We reserve the right to immediately suspend SMS capabilities for any Client that violates these requirements.
3.5 Carrier Compliance
SMS delivery is provided via Twilio, Inc. and the US carrier network under the A2P 10DLC framework. Clients acknowledge that carriers may filter or block messages that violate their policies, and that Left Coast AI, LLC is not liable for undelivered messages resulting from carrier filtering.
4. Client Obligations
As a Client, you agree to:
- Maintain accurate and up-to-date account information
- Use the Service only for lawful business purposes
- Obtain all necessary consents prior to enabling SMS communications
- Comply with all applicable laws including TCPA, GDPR, CCPA, and CAN-SPAM
- Not reverse-engineer, decompile, or attempt to extract source code from the Service
- Not use the Service to harass, threaten, or defraud any person
- Ensure your use of the Service does not infringe any third-party rights
- Promptly notify us of any unauthorized access to your account
5. Accounts and Security
You are responsible for maintaining the confidentiality of your login credentials. All activity that occurs under your account is your responsibility. Notify us immediately at info@leftcoastai.com if you suspect unauthorized access. We reserve the right to disable accounts that violate these Terms.
6. Intellectual Property
The Service, including all software, AI models, branding, and documentation, is owned by Left Coast AI, LLC and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your business purposes during your subscription.
You retain ownership of your business data (calls, contacts, appointments). You grant us a limited license to process this data solely to deliver the Service.
7. Fees and Payment
Subscription fees are billed as agreed at sign-up. We may update pricing with 30 days' written notice. Overdue invoices may result in service suspension. All fees are non-refundable except where required by law or as expressly stated in your subscription agreement.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI RESPONSES WILL BE ACCURATE OR COMPLETE. AI-GENERATED CONTENT SHOULD BE REVIEWED BY YOUR STAFF BEFORE ACTING ON IT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEFT COAST AI, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Left Coast AI, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your failure to obtain required SMS consent; (d) your violation of any applicable law or third-party rights.
11. Termination
Either party may terminate this agreement with 30 days' written notice. We may terminate immediately if you breach these Terms, engage in prohibited conduct, or present a risk to other users or our infrastructure. Upon termination, your access ends and we will make your data available for export for 30 days before deletion.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved by binding arbitration in Los Angeles County, California, under the AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to a jury trial or class action.
13. Changes to These Terms
We may revise these Terms at any time. Material changes will be communicated via email or dashboard notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
